Welcome to ShipBee! These User Terms ("Terms") govern your access to and use of the ShipBee platform, including the ShipBee app, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.
1. Company Information
ShipBee is a fulfillment platform operated by a company based in Hong Kong ("HK"). Our Services are designed to assist Shopify store owners in managing order fulfillment efficiently and effectively. As an HK-based company, ShipBee operates under the jurisdiction and laws of Hong Kong.
2. Acceptance of Terms
By creating an account, accessing, or using the ShipBee Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms and conditions that may apply.
3. Eligibility
To use the ShipBee Services, you must be at least 18 years old or have reached the age of majority in your jurisdiction, and have the legal capacity to enter into binding agreements. By using our Services, you represent and warrant that you meet these requirements.
4. Account Registration and Security
4.1 Account Registration
To access certain features of our Services, you must create an account. You agree to provide accurate, complete, and up-to-date information during the registration process and to update such information as necessary to maintain its accuracy and completeness.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. ShipBee will not be liable for any loss or damage arising from your failure to comply with these security obligations.
5. Use of Services
5.1 Permitted Uses
You may use the ShipBee Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any manner that violates any applicable laws or regulations.
- Use the Services for any fraudulent or deceptive purposes.
- Interfere with or disrupt the security, integrity, or performance of the Services.
- Attempt to gain unauthorized access to any part of the Services or related systems or networks.
5.2 Prohibited Uses
You agree not to engage in any of the following prohibited activities:
- Circumventing Security Measures: Attempting to bypass any security measures or access restrictions of the Services.
- Reverse Engineering: Attempting to decompile, disassemble, or reverse engineer any software used to provide the Services.
- Data Scraping: Using any automated means to collect or scrape data from the Services without our express permission.
- Harmful Conduct: Engaging in any conduct that could harm ShipBee or other users, including distributing viruses or other harmful software.
6. User Content
6.1 Ownership of User Content
You retain ownership of any content, including text, images, videos, and other materials, that you upload, post, or otherwise make available through the Services ("User Content"). By providing User Content, you grant ShipBee a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, reproduce, distribute, modify, display, and perform such content in connection with the operation of the Services.
6.2 Responsibility for User Content
You are solely responsible for your User Content and any consequences of posting or publishing it. You represent and warrant that:
- You own or have the necessary rights and permissions to use and authorize ShipBee to use all intellectual property rights in and to your User Content.
- Your User Content does not infringe, misappropriate, or violate any third-party rights, including intellectual property rights, privacy rights, or any other proprietary rights.
7. Intellectual Property
7.1 ShipBee Content
All content and materials provided by ShipBee through the Services, including text, graphics, logos, icons, images, software, and other materials, are the property of ShipBee or its licensors and are protected by intellectual property laws. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of ShipBee's content, except as expressly permitted by these Terms.
7.2 Trademarks
"ShipBee," the ShipBee logo, and any other ShipBee product or service names, logos, or slogans that may appear on the Services are trademarks of ShipBee or our affiliates and may not be copied, imitated, or used, in whole or in part, without the prior written permission of ShipBee or the applicable trademark holder.
8. Payments and Fees
8.1 Free Use of Services
ShipBee provides its platform and services free of charge to users. There are no subscription fees or charges for creating an account or using the basic features of the platform.
8.2 Order Payments
While the use of the ShipBee platform is free, users are responsible for paying for the fulfillment of any orders that are processed through their Shopify stores using the ShipBee platform. This includes the cost of goods, shipping, and any applicable taxes or fees.
8.3 Billing and Payment
You authorize ShipBee to charge your designated payment method for any costs associated with the fulfillment of orders processed through Shopify. You are responsible for providing accurate billing information and updating it as necessary.
8.4 Refunds
All payments for order fulfillment are non-refundable, except as required by applicable law or as explicitly stated in these Terms.
9. Termination
9.1 Termination by You
You may terminate your account at any time by contacting us at support@shipbeefulfillment.com. Upon termination, you must cease all use of the Services.
9.2 Termination by ShipBee
ShipBee reserves the right to suspend or terminate your access to the Services at any time, for any reason, including but not limited to a violation of these Terms, without notice or liability.
10. Disclaimer of Warranties
The Services are provided on an "as-is" and "as-available" basis. ShipBee disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ShipBee does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
11. Limitation of Liability
To the fullest extent permitted by applicable law, ShipBee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or goodwill, arising out of or in connection with your use of the Services, even if ShipBee has been advised of the possibility of such damages. ShipBee's total liability to you for all claims arising from or related to these Terms or your use of the Services shall not exceed the greater of the amount you paid to ShipBee for order fulfillment or $100.
12. Indemnification
You agree to indemnify, defend, and hold harmless ShipBee, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles.
13.2 Dispute Resolution
Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Hong Kong International Arbitration Centre (HKIAC). The arbitration shall take place in Hong Kong, and the decision of the arbitrator shall be final and binding.
14. Changes to These Terms
ShipBee may update these Terms from time to time. We will notify you of any significant changes by posting the new Terms on our platform or by sending you an email. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
15. Miscellaneous
15.1 Entire Agreement
These Terms constitute the entire agreement between you and ShipBee regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral, regarding the Services.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ShipBee to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
